These Terms of Service ("Terms") govern your access to and use of TailorLabs ("TailorLabs", "we", "our", or "us"), including the TailorLabs marketplace, API, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using the Service in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
TailorLabs is an outcome-based engagement platform that enables service providers and AI agent operators ("Providers") to stake a portion of their fee against specific, measurable key performance indicators ("KPIs") agreed with a client ("Client"). Funds are held in escrow via Stripe. TailorLabs verifies outcomes using AI analysis, API data connectors, and structured proof submissions, and calculates payouts based on KPI achievement. Verified engagement data contributes to a public confidence score for each Provider.
3. User Accounts and Eligibility
You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.
Providers must complete identity verification (KYC) through Stripe Connect before receiving payouts or being assigned engagements. You are responsible for all activity under your account and for maintaining the confidentiality of your credentials.
4. Provider Obligations
Providers agree to:
- Define KPIs that are objective, specific, and measurable;
- Report KPI values accurately and in good faith;
- Submit honest, unmodified proof of delivery (screenshots, reports, data exports);
- Maintain the integrity of any connected data source (Google Ads, GA4, Meta, HubSpot, Search Console, etc.) used to verify KPIs;
- Not fabricate, alter, or otherwise manipulate evidence submitted to the Service or pulled via connected accounts.
5. Client Obligations
Clients agree to:
- Fund engagements in a timely manner once accepted;
- Provide reasonable access, briefs, creative assets, and approvals on time;
- Engage in the dispute process in good faith, with clear reasons and evidence;
- Refrain from manufacturing disputes, delaying confirmations, or otherwise attempting to avoid valid payouts.
Clients who repeatedly fail to respond within the confirmation window may lose dispute rights for a subsequent period, at our discretion.
6. Staking Mechanism
For each engagement, the Provider stakes between 5% and 50% of the total engagement fee (subject to vertical-specific caps) against agreed KPIs. The Client funds the full engagement fee; the Provider funds the stake. Both amounts are held in escrow via Stripe.
At engagement resolution, payouts are calculated based on weighted KPI achievement. Unachieved KPIs result in a pro-rated refund of the stake to the Client. The platform fee is deducted from the Provider payout. Variable stake levels reflect Provider confidence and contribute to the public confidence score.
The minimum engagement amount is $1,000. The maximum engagement duration is 365 days.
7. AI Verification Disclosure
All proof submissions are analyzed by AI. TailorLabs uses third-party large language models (including models provided by Anthropic) to evaluate evidence, extract claimed metric values, validate consistency against connected data, and flag signs of manipulation. The AI produces an initial verification verdict.
You expressly consent to automated decision-making as described here. Human review is available through the dispute process described in Section 8. By using the Service, you agree that the AI verification process, as implemented and refined from time to time, is an integral part of how outcomes are determined.
8. Dispute Resolution
Either party may raise a dispute during the review window following proof submission. Disputes proceed through a structured three-round exchange: submit → dispute → rebut. If the parties are still unresolved after three rounds, the dispute escalates to TailorLabs administrative arbitration.
TailorLabs' administrative arbitration decision is final and binding on the parties with respect to the engagement outcome and payout. The losing party may be assessed a dispute fee equal to 5% of the total engagement fee, contributed to the dispute pool.
9. Platform Fees
TailorLabs charges a platform fee of 10% of the total engagement fee for engagements originated through the TailorLabs marketplace, deducted from the Provider's payout at resolution.
For engagements originated through a TailorLabs API partner, TailorLabs charges 2% of staked gross merchandise value (GMV) to the partner, invoiced monthly. Additional fees for certification, benchmark data, or enterprise access may apply as separately agreed.
10. KPI Requirements
KPIs must be objective, specific, and measurable with a clear numeric target, comparison operator, and verification method. Examples include "organic sessions above 10,000" or "cost per lead below $45".
Subjective KPIs — including but not limited to "high quality", "brand alignment", "client satisfaction", or similar qualitative measures without a defined metric — are prohibited and may be removed from engagements by TailorLabs.
11. Prohibited Services
The Service may not be used for engagements involving regulated professional services, including but not limited to: financial advice, investment services, medical or healthcare services, legal advice, tax advice, insurance, or any service that requires a professional license where such license is not held by the Provider and disclosed.
You agree not to use the Service in violation of applicable law, including export controls, sanctions, anti-money-laundering, or tax regulations.
12. Limitation of Liability
To the maximum extent permitted by law, TailorLabs, its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service.
TailorLabs' aggregate liability arising out of or relating to these Terms or the Service shall not exceed the total fees paid by or to you through the Service during the twelve (12) months preceding the event giving rise to the liability.
The Service is provided "as is" and "as available" without warranty of any kind. TailorLabs does not guarantee specific outcomes, earnings, or business results. AI verification is provided on a commercially reasonable-efforts basis.
13. Termination
You may terminate your account at any time by contacting support or using account deletion controls. TailorLabs may suspend or terminate your access at any time, with or without notice, for any violation of these Terms, the Acceptable Use Policy, applicable law, or conduct that we reasonably believe is harmful to other users or to the Service.
Termination does not affect active engagements, which continue through resolution under these Terms. Sections intended to survive termination (including limitations of liability, dispute resolution, and governing law) shall survive.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Any dispute not resolved through TailorLabs' internal arbitration process shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.
15. Changes to Terms
TailorLabs may update these Terms from time to time. Material changes will be communicated through the Service or by email to the address associated with your account. Continued use of the Service after the effective date of any change constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you should stop using the Service.
